EDGAR, the Electronic Data Gathering, Analysis, and Retrieval system, performs automated collection, validation, indexing, acceptance, and forwarding of submissions by companies and others who are required by law to file forms with the U.S. Securities and Exchange Commission. While many of these reports are publicly available on the SEC EDGAR website, they remain largely unusable to market participants due to the system's limited search options, use of unconventional bond identifiers, and inability to aggregate across individual filings. Our advanced real-time spidering, data ingestion and normalization technologies eliminate the grunt work from the research process entirely, providing Empirasign users with unparalleled access to this data with the following market surveillance tools.

N-PORT Filings: Reveal Portfolio Holdings Data

Form N-PORT reports are monthly filings which disclose the complete portfolio holdings of all US registered investment companies and ETFs. Filings for the third month of every firm’s fiscal quarter (aka N-PORT P) are made publicly available on the SEC's EDGAR website 60 days after the end of each quarter.

The caveats:

  • The EDGAR system does not allow you to search filings by bond identifier. Rather, filings must be viewed at the entity level.
  • While you can search the EDGAR system by fund name or CIK, no aggregate view of N-PORT P filings for a particular fund is available. Rather, individual filings must be examined one at a time in XML format.

High Variance Mark Report

This report is compiled from RIC and ETF bond valuations as reported N-PORT filings. For each bond that has more than four unique holders, we compute a mean price and standard deviation of that price. The top 5% highest variance prices are displayed in the table. The underlying thesis of this report is uncertainty equals opportunity.

These represent the trickiest bonds in the market.

N-CEN Filings: Discover the People Behind the Purchase

All US-registered investment companies (Mutual Funds and ETFs) use Form N-CEN to report basic registrant and series-level information to the SEC on a yearly basis. These filings disclose a fund's directors, officers, adviser/sub-advisers, auditors, pricing services used, and various other information. Chief Valuation Officer, and other high-level data mandated by SEC Rule 2a-5 will also likely appear in these reports.

The caveat:

  • No information about the individuals (PMs, analysts) who work for a fund's adviser/sub-adviser(s) is revealed in this report.

N-CEN Data From Empirasign

We take care of all the heavy lifting by regularly spidering N-CEN reports and joining fund information with updated CRD data from FINRA.

ABS-EE Filings: View Loan-Level Payment Information on CMBS Bonds

Form ABS-EE filings disclose standardized asset-level information including loan structure, payment type, and payment status at the time of offering and each month thereafter. An important part of Regulation AB II, these reports provide market participants with greater transparency into the underlying risk of securities being traded in the secondary market.

The caveats:

  • The EDGAR system does not allow you to search filings by bond identifier. Rather, filings must be viewed at the entity level.
  • No aggregate view of all ABS-EE filings for a security is available. Rather, each filing must be viewed individually.

ABS-15Ga1 & 15Ga2 Filings: View the Regulatory Events Driving Sales

Form ABS-15Ga1 filings are announcements of repurchase events (or lack thereof) for Asset-Backed securities. Form ABS-15Ga2 filings are third-party due diligence reports.

Think of ABS-15Ga1 reports as a new issue canary.

The caveat:

  • These filings are largely devoid of commonly used identifiers such as CUSIPs, ISINs, or tickers. Instead, they contain the SEC's preferred identifier, Central Index Key (CIK).

ABS-15Ga1 & 15Ga2 Data From Empirasign

The two CIKs of interest to those in Structured Products are Issuer and Depositor. These largely correlate to what the market generally considers a deal series and issuer. The trick, other than the real-time indexing of such useful reports, is to be able to cross-reference these CIKs to identifiers more commonly used in the marketplace.

If there are recent filings for the bond you queried, drop-down menu(s) will appear at the top of the results page with the dates they were filed and links to each filing on the SEC website.
